Introduction
By countersigning this letter, you agree to the following fee sharing and payment arrangement in respect of all categories of work under Appendix 1 of the Simply.Law Referral Agreement v1.6, the specified categories of work below and accordingly, the table of Referral Fees in Appendix 1 of the Simply.Law Referral Agreement and any other relevant terms contained therein shall be deemed to be so amended.
Work Categories
The Fee Sharing Arrangement set out below shall apply to the following categories of work:
Private client and commercial:
Cat A – Where the client puts the law firm in funds at the beginning of the case and makes interim payments as the case progresses.
Cat B – Where the law firm may recommend litigation funding to its client. In such cases a process begins at an early stage of the case to apply for funding; approval for which generally takes around six to eight weeks.
Cat C – The case is dealt with under a Conditional Fee Agreement (CFA). In such instances, the law firm does not recover any fees until the case reaches a successful settlement.
Corporate:
High value corporate transactional matters shall be categorised as Cat D, for the purpose of this side letter.
Fee Share
You hereby agree to pay Simply.Law 10% of your aggregate invoiced legal fees, including any success/win/uplift fees (but excluding disbursements such as expert witness fees, counsel fees and court fees), in respect of any Referral (as such term is defined in the Simply.Law Referral Agreement) of any of the Categories of work set out above made by Simply.Law and that is accepted by you.
Payment Terms
You shall be obliged to settle the payment of any such shared fee as set out above either:-
(1) in the case of Cat A-C, no later than seven days from:-
(a) receipt of any funds from the ultimate client or Litigation Funder in settlement of your fees, including any interim payments as may from time to time be received by you,
(b) or at the conclusion of the case following recovery of legal fees from a third party; or
(2) in the case of Cat D, no later than seven days from the date of completion of the transaction.
Classification of cases
At the time any Referral is accepted by you and it falls within the categories set out above, it should be categorised into Cat A, B, C or D above for the purpose of case management and administration by both you and Simply.Law.
A Case/Transaction so categorised should also be identified by you as being an Accepted Case under this Fee Sharing Arrangement within the Simply.Law Member lawyer login area – Declaration of Accepted Cases. As soon as the legal fees are settled by the ultimate client (in full or in part, as set out above), you must update the Declaration in the lawyer login area, such that administration of the Referral Fee can be concluded accordingly by Simply.Law.
